In the interest of avoiding any confusion as to rights and obligations, Thomas A. Oder, d/b/a Worldwide Editing, and persons submitting manuscripts to Thomas A. Oder, d/b/a Worldwide Editing for consultation, editing, rewriting or other preparation for publication or presentation agree to the terms below:

1. The work you are submitting to Thomas A. Oder, d/b/a Worldwide Editing is your original creation, and Thomas A. Oder, d/b/a Worldwide Editing will not violate the rights of any third party by advising you on the work or preparing the work for publication or presentation.

2. You hold the copyright, and any trademarks, in the work, and all revisions of the work prepared by Thomas A. Oder, d/b/a Worldwide Editing or the associates, of Thomas A. Oder, d/b/a Worldwide Editing, including the right to publish or present the work as you wish and to prepare other material based on the work.

3. In preparing your manuscript for publication, Thomas A. Oder, d/b/a Worldwide Editing will provide numerous services, including consultation about the goals you want to accomplish with the work, an estimate of the extent of revisions needed in the work, an estimate of the amount of time those revisions will take, an estimated delivery date for the edited work and, upon completion of revisions to the work, a review with you of the edited or revised work.

4. If the author or a representative of the author cancels the project after Thomas A. Oder, d/b/a Worldwide Editing has begun work on the project, the author or a representative of the author is still responsible for payment to Thomas A. Oder, d/b/a Worldwide Editing.

5. Thomas A. Oder, d/b/a Worldwide Editing reserves the right to revise the estimated cost and date for delivery of the edited or revised work if the author or representative(s) of the author make substantial changes or revisions to the work as determined by Thomas A. Oder, d/b/a Worldwide Editing that are not covered in the original estimate of cost and estimated delivery date as originally provided by Thomas A. Oder, d/b/a Worldwide Editing.

6. Some events beyond the control of Thomas A. Oder, d/b/a Worldwide Editing can affect the estimated delivery date of the completed work. These events include, but are not limited to, illness, injury, family emergencies and acts of nature, such as storm damage. Thomas A. Oder, d/b/a Worldwide Editing is not liable for delays in these instances or in instances of a similarly catastrophic nature. Should unforeseen catastrophic events occur that affect the ability of Thomas A. Oder, d/b/a/Worldwide Editing or his agents to deliver the completed work on the estimated delivery date, Thomas A. Oder, d/b/a Worldwide Editing will attempt to assign the work to an agent of Worldwide Editing so that the work can be completed as close to the estimated delivery date as possible. In these and similarly catastrophic instances, Thomas A. Oder, d/b/a Worldwide Editing, or his associates, will notify you as soon as possible of any changes in who is preparing the work for publication or presentation, of any delays in the estimated delivery date of the edited or revised work, the reasons for the delay and a new delivery date.

7. Thomas A. Oder, d/b/a Worldwide Editing will not sell, trade or rent your personal information to others.

8. You grant to Thomas A. Oder, d/b/a Worldwide Editing, without compensation to you or additional compensation to Thomas A. Oder, d/b/a Worldwide Editing, the right for Thomas A. Oder, d/b/a Worldwide Editing to use your name, likeness and/or biographical information for advertising or promotional purposes and that this right is worldwide, for any number of times and in any then-existing form or medium.

9. You agree to fully cooperate with Thomas A. Oder, d/b/a Worldwide Editing, or his associates who may have been involved in preparing the work for publication or presentation, in any legal action concerning the work and to indemnify Thomas A. Oder, d/b/a Worldwide Editing, his agents, affiliates and licensees against any and all losses, claims, damages or expenses that may arise from your breach of this agreement including, without limitation, your breach of any representations.
